In consideration of Vertoz Limited and its affiliates (hereinafter referred to as “Vertoz”, “we”, which expression shall include, where appropriate, its subsidiaries, successors, and assigns) offering AI-powered solutions encompassing Digital Advertising, Marketing, Media and Monetization (MadTech), Digital Identity, and Cloud Infrastructure (CloudTech) services (collectively referred to as the “services”) in India and globally at your request, you (hereinafter referred to as “Client”, “you”, or “user”) agree to engage Vertoz with your business.
The terms “You”, “Users”, and “Clients” refer to you or any other person or legal entity on whose behalf you are accessing or using these services for any purpose.
By accessing or availing Vertoz’s services, the Clients accept the following terms and conditions as may be amended, supplemented, or superseded by Vertoz from time to time.
General Disclaimer
By using Vertoz’s services, you agree to be bound by and comply with these terms. We reserve the right, at our sole discretion, to modify, revise, or replace these terms at any time. Continued use of our services after any such changes indicates your acceptance of the updated terms.
All intellectual property associated with Vertoz’s services and platforms, including text, graphics, logos, software, and technology, remains the property of Vertoz. Unauthorized reproduction, modification, or redistribution of the content is strictly prohibited.

All services and platforms are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. Vertoz does not guarantee uninterrupted access, error-free operation, or that any services will meet your expectations.
No Liability
Vertoz shall not be liable for any direct, indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of profits, revenue, business opportunities, or data, arising from your use of our services or platform.
Indemnity
You agree to indemnify and hold harmless Vertoz, its subsidiaries, affiliates, employees, officers, agents, and partners from any claims, liabilities, losses, or expenses (including legal fees) arising out of your use of the services, violation of these terms, or infringement of any third-party rights.
Intellectual Property Rights
The Vertoz platform and all related content, including but not limited to logos, software, ad technologies, proprietary algorithms, dashboards, and creatives, are protected by applicable intellectual property laws and remain the exclusive property of Vertoz. Unauthorized use or modification without prior written consent is prohibited and may result in legal action.
Prohibited Use
You agree not to use Vertoz’s platform or services for:
- Harassing, threatening, or impersonating others
- Posting or sharing defamatory, obscene, or offensive content
- Transmitting spam, malware, or fraudulent links
- Activities that are unlawful, unethical, or in violation of applicable laws
- Exploiting or tampering with Vertoz’s systems, software, or network
- Misusing performance data or reporting systems
- Engaging in any ad fraud, spoofing, or data manipulation
Vertoz reserves the right to investigate such violations and cooperate with law enforcement where necessary.
Confidentiality
Both parties shall maintain strict confidentiality regarding all proprietary business information, pricing, data, reports, and trade practices shared in the course of the engagement. Disclosure to any third party is prohibited without prior written consent. Each party is responsible for preventing unauthorized use or sharing of any confidential information.
Governing Law
Any dispute or claim arising in relation to these terms or the services provided shall be governed by and construed in accordance with the laws of India or USA (based on the applicable contracting entity), without regard to conflict of law provisions.
These terms constitute the entire agreement between the Client and Vertoz concerning the use of Vertoz’s services and supersede all prior communications, understandings, or agreements, whether oral or written.
Termination
Vertoz reserves the right to suspend, modify, limit, or terminate any service, access, or functionality, at its sole discretion, at any time, without prior notice or liability.
